Website conditions

Terms of Use.

The conditions applying when you access the IntelligenceX website, submit an enquiry or engage with our services in Australia or elsewhere by written agreement.

1. Acceptance

This website, www.intelligencex.com.au, is owned and operated by IntelligenceX Pty Ltd (ABN 74 659 349 041), an Australian private company. In these Terms, “IntelligenceX”, “we”, “our” and “us” refer to IntelligenceX Pty Ltd.

By using this website, you agree to these Terms. If you do not agree, do not use the website. IntelligenceX is based in Australia and may support matters throughout Australia and, where specifically agreed, matters involving other jurisdictions.

These Terms govern website use and enquiries. An accepted engagement may also be governed by a proposal, scope, engagement letter or other written agreement. If an engagement-specific agreement is inconsistent with these Terms, that agreement prevails to the extent of the inconsistency.

2. General information only

Website content describes our capabilities and approach at a general level. It is not legal, financial, security or other professional advice, and it is not a recommendation about a particular person, organisation or course of action.

We take reasonable care with published material but do not represent that every item is complete, current, error-free or suitable for your circumstances. IntelligenceX analysis examples, representative matters and interface visuals are illustrative and do not promise that the same sources, methods, findings or outcomes will be available in another matter.

3. Enquiries and engagements

Submitting an enquiry does not create a client relationship, fiduciary relationship, duty, retainer, exclusivity arrangement or obligation to accept a matter. We may conduct preliminary suitability, identity, authority, conflict, risk and lawful-purpose checks before accepting instructions.

An engagement begins only after IntelligenceX confirms acceptance in writing and the scope, lawful purpose, deliverables, timing, fees, payment requirements, client responsibilities and applicable conditions are agreed. We may decline an enquiry without providing detailed reasons where appropriate for legal, ethical, operational, security, conflict or risk reasons.

Intelligence work is affected by source availability, source reliability, access restrictions, jurisdiction, time, budget and the circumstances of the matter. Information may change, disappear or prove incomplete. No particular finding, identification, attribution, recovery, response from a third party or other outcome is guaranteed.

4. Fees, cancellations and refunds

Fees, deposits, milestones, retainers, disbursements and payment dates are set out in the relevant written proposal or engagement terms. Unless otherwise agreed, you must pay invoices by the stated due date. We may pause work or withhold delivery where an amount is overdue, subject to applicable law and the engagement terms.

Because intelligence work may require advance allocation of specialist time, research, analysis, secure resources and third-party services, amounts attributable to work already performed, resources already committed and non-recoverable third-party costs are generally not refundable where a client changes their mind, cancels, delays, changes scope or no longer requires the work.

If an engagement is cancelled or terminated, we may issue a final account for work performed and authorised or unavoidable costs incurred up to the effective date. Any unused prepaid amount remaining after those amounts are accounted for will be handled in accordance with the engagement terms and applicable law.

Nothing in this section excludes, restricts or modifies any consumer guarantee, refund entitlement or other right that cannot lawfully be excluded under the Australian Consumer Law or other applicable law.

5. Client responsibilities and acceptable use

You must provide accurate instructions, disclose material context, identify the lawful purpose of the request and have authority to provide any information or material supplied to us. You remain responsible for decisions made using our work and for obtaining legal or other specialist advice where required.

You must not use the website, our contact channels, reports, findings or services to:

  • request unlawful, deceptive, abusive, harassing or unauthorised activity;
  • stalk, intimidate, discriminate against, exploit, defame or improperly interfere with another person;
  • submit material you are not entitled or authorised to provide, or conceal the true purpose or intended recipient of an enquiry;
  • interfere with website operation, security, access controls or rate limits;
  • introduce malicious code, automate abusive requests or misrepresent your identity or authority;
  • publish, alter, selectively quote or distribute our work in a misleading manner;
  • use information or deliverables in breach of privacy, surveillance, discrimination, employment, credit, defamation, data-protection or other applicable laws; or
  • copy or use website material in a way that infringes intellectual property, confidentiality or other rights.

We may verify instructions, seek further information, limit or refuse a request, preserve relevant records, suspend work or notify an appropriate authority where reasonably necessary to comply with law, respond to compulsory process, protect safety or rights, or address suspected fraud, misuse or security threats.

6. Confidentiality and permitted disclosures

We treat accepted client instructions and operational matter material as confidential, subject to the engagement terms and applicable law. Confidentiality is not absolute. We may use or disclose information to authorised recipients, personnel and controlled service providers as reasonably necessary to assess, administer or perform the engagement.

We may also disclose information where authorised by the client; required or permitted by Australian or other applicable law; compelled by a court, tribunal, regulator or law-enforcement process; reasonably necessary to obtain legal, insurance, technical or professional advice; necessary to protect safety, security, legal rights or systems; or necessary to establish, exercise or defend a legal claim or recover an amount properly due.

Where lawful and practicable, disclosure will be limited to what is reasonably necessary in the circumstances. Client disclosure obligations and any engagement-specific confidentiality arrangements remain subject to their written terms.

7. Intellectual property and use of deliverables

Unless stated otherwise, the website design, text, graphics, branding, analytical methods, analysis examples, templates and other original material are owned by or licensed to IntelligenceX Pty Ltd. Access to www.intelligencex.com.au gives you only a limited permission to view the website through an ordinary web browser for personal or internal business evaluation. It does not transfer ownership or grant any broader licence.

Except where expressly authorised by IntelligenceX in writing or permitted by a right that cannot lawfully be excluded, we do not consent to the website’s photographs, images, analysis imagery, video, audio, animations, interface captures, reports or other media being downloaded, copied, screen-recorded, extracted, scraped, reproduced, embedded, modified, republished, redistributed, commercially exploited, added to a dataset or used to develop or train an automated or artificial-intelligence system. The technical ability to access, save or capture material does not constitute permission.

You must not remove ownership notices, imply that IntelligenceX material is your own, use it in a misleading context or use technical means to bypass access, copying or media-protection controls. Requests to reproduce or license website material must be approved by IntelligenceX in writing before use.

Ownership and permitted use of engagement deliverables are governed by the relevant written agreement. Unless that agreement states otherwise, a deliverable is prepared solely for the instructing client, agreed purpose and authorised recipients. It must not be supplied to, relied upon by or represented as advice to a third party without written approval. Pre-existing tools, methodologies, know-how, templates and working materials remain the property of IntelligenceX or their respective licensors.

8. External services and links

The website may link to or rely on third-party services. Those services are controlled by their providers and may have separate terms and privacy practices. A link does not constitute endorsement of all third-party content.

9. Reliance, liability and Australian Consumer Law

Nothing in these Terms excludes, restricts or modifies a right, guarantee, remedy or liability that cannot lawfully be excluded under the Australian Consumer Law or other applicable law.

Intelligence assessments are based on the information, sources, scope and limitations available at the time. Findings may include qualified assessments rather than certainty. You must consider stated limitations, confidence levels and context and must not treat a report as a substitute for legal, financial, security or other regulated professional advice.

To the extent permitted by law, IntelligenceX Pty Ltd is not liable for loss arising solely from reliance on general website content, temporary unavailability, malicious or unauthorised website use, inaccurate or incomplete information supplied by another person, third-party systems or a use of our work outside its agreed purpose. Liability relating to an accepted engagement is governed by its written agreement and applicable law.

10. Suspension and termination

We may suspend or terminate website access or an engagement where permitted by the engagement terms or reasonably necessary because of non-payment, material breach, misleading instructions, lack of authority, conflict, unlawful purpose, safety or security concerns, abusive conduct, sanctions or legal restrictions, or circumstances that make continued performance inappropriate or impracticable.

Termination does not affect accrued payment obligations, confidentiality, intellectual property, permitted disclosure, limitations, dispute rights or any provision intended to continue after termination.

11. Australian operation and governing law

IntelligenceX operates from Australia and may accept engagements connected with different Australian states and territories or, by written agreement, other jurisdictions. The laws and regulatory requirements applying to a particular engagement may therefore depend on its scope, location, subject matter and written terms.

Unless an engagement-specific agreement states otherwise, these website Terms are governed by the laws of Victoria, Australia. You submit to the non-exclusive jurisdiction of the courts of Victoria and courts entitled to hear appeals from them. This choice of law does not exclude any mandatory law that applies and cannot lawfully be displaced.

12. Changes and contact

We may update these Terms by publishing a revised version on this website. The terms applying to an accepted engagement remain governed by its written agreement unless varied in accordance with that agreement and applicable law. Questions about these Terms can be sent to support@intelligencex.com.au.
